<p>There are many rabbit breeds available at market. You should try knowing the characters of each breed and then select the breed which you would want to go for. This is because every breed has its behavior characters which you need to study. Not all the breeds of rabbits are friendly so you have to choose the best one.</p>
<p>Breeds may vary in appearances also. So if you have some of your own priorities you can choose the appropriate one. A Mini Rex may be calm breed for you to go with. You can get rabbits from various pet stores or animal rescue agencies and adopt them.</p>

<p>Keep a daily eye on its health and if anything goes wrong then do visit a veterinarian and have its body checked up. You can also choose to visit a veterinarian on regular basis. This will reduce the burden on you to keep a check on its health if you cannot distinguish its malfunctioning.</p>
<p>After you get your rabbit at your home you may choose it let it free at home premises or may choose to have it caged. If it is boisterous then you should definitely go for a cage. Generally rabbits are small animals and love to hop around. So having a large cage would be a great idea as the poor animal would get suffocated in a small cage. You may also need to keep a layer of straw and some toys with its feeding dish and water in its cage so that it can feed on it whenever it feels like to. You may also choose to have an out door rabbit hutch so that the bunny could be kept outdoors. This will give it more space to move around as the outdoor hutches are bigger in size when compared to the indoor hutches.</p>

<p>So many companies make gargantuan mistakes that are irreversible when it comes to fund-raising. Whether you&#8217;re taking a company public, finding an attorney to file your S1 or using a consultant to write a Private Placement Memorandum to raise capital; you need to know that you are a tantalizing snack for industry wolves.<br />
Companies seeking the above services with ill-informed executive decision makers often fall prey to predatory consultants who have no intention and couldn&#8217;t fulfill the services they are being hired for even if they wanted to. Upstarts and fast talkers who call themselves &#8216;business consultants&#8217; are usually nothing more than resellers of a service who is a boilerplate, template driven organization without the contacts or know-how to facilitate an IPO, S1 or PPM. </p>
<p>You&#8217;ll be pulled in by their promise of delivery and via technical jargon  they&#8217;ll impress you with their grasp of the technical intricacies and use of terminology that seems so polished and refined but buyer beware; 9 out of every 10 consultants that I&#8217;ve come across don&#8217;t know the difference between a reverse merger and a direct filing or regulation d rule 504 and regulation d rule 506 and even worse new or wannabe s1 facilitators will often confuse a DPO and an IPO and in the end the client, who doesn&#8217;t know what questions to ask, is left with a structure they can&#8217;t capitalize. </p>
<p>The later is true! A few months back my schedule was completely booked and there was an organization that needed to go public. They were within a 3 mile radius of a lawyer that had been calling me for months to get project referrals so I referred this IPO transaction to her in hopes that she would take care of the client, next thing I know she has the client convinced that a DPO is the best route and authored the PPM accordingly. </p>
<p>It&#8217;s absolutely ridiculous.<br />
If you&#8217;re looking for a real consultant who can actually come through with the above solutions or expansion strategies stay away from the pushy &#8216;sales&#8217; oriented organization. You almost want a consultant that you have to call 3 times to get on the phone and then have them talk you out of moving forward. They are testing you and your dedication to your company and project. </p>
<p>Stay away from &#8216;broker&#8217; types who &#8216;love&#8217; your business and don&#8217;t or can&#8217;t poke holes in your corporate structure, expansion strategy, board of directors or other elements to your business. On another note, walk away from those who try to disguise their true lack of comprehension with technical talk. </p>
<p>They are just trying to distract you from the fact that they don&#8217;t have a clue as to what they are doing. There are so many distraction techniques. </p>
<p>The best consultants start out with, &#8220;OK, tell me about your business and what are you trying to accomplish&#8221;? They&#8217;ll ask about your &#8216;C&#8217; level executives, product and service intricacies, marketing plan, three year projections, strategic alliances in place, board of directors and more. Your response to these questions will help the strategist formulate a plan to set up a structure that works.</p>

<p>I deal with S1 attorneys all day every day and most of them are entrepreneurial, hard working and interested in helping you in any way they can but there are also a lot of bad ones out there. If you are taking your company public the last thing you want is a broke as a joke s1 filing agent.</p>
<p>I recently had the misfortune of working with (for a very short time I might add) a New Jersey lawyer who had us all convinced by her pepper gray hair and fluency of legal jargon as a second language and quick calls to what she had us convinced where big shot investors who had millions to put into this and other transactions we brought her way.</p>
<p>During initial negotiations she and I sat down in a coffee shop and went over her equity position and fees in the transactions that she&#8217;d be working on for us and it was pretty simple and straight forward. I would have my team organize and structure the company and transaction and she would simply file the s1 in exchange for 2% to 3% equity. Pretty nice payday for minimal work and gaining equity in an average company producing $5m+ per year.</p>
<p>Ah yes, but when it sounds too good to be true it is and when it seems too easy of a negotiation&#8230;it is! When she sent us the contract she felt the need to add a few percentage points to the tune of 7%, making a total of 10% equity and she also was charging an extra $10k to fill in the blanks on your prototypical PPM doc. Why did she jack up the price? Her response was, &#8220;This S1 will have comments&#8221;. I almost died laughing. Of course it&#8217;s going to have comments with the SEC, that&#8217;s why it&#8217;s called the &#8216;comments&#8217; stage.</p>
<p>We talked her into taking 2 payments for the $10k, half upfront and half on completion but we really should have dumped her right there. She didn&#8217;t want to keep her word on that either so I paid her the last payment before the fee was due and just got rid of her. </p>
<p>Turns out she never filed an s1 before and her whole act was a sham. She was desperate for cash and nickled and dimed us the whole time. I laugh about it now but it wasn&#8217;t funny when it happened. We lost over a month of transaction time because she couldn&#8217;t tell the truth. </p>
<p>The client was going public on the OTCBB with a valuation of around $5m, her suggestion was to raise capital pre public for $1 per share because the company would have a hard time qualifying for the NASDAQ if it started at anything less than $1. This company was years away from even considering the NASDAQ as an option but her in experience and need to prolong the deal to rape us for fees was so blatant and careless that she did everything she could to add as much confusion to the deal as possible so that no one knew what was going on, therefore she got away with a lot and was able to pick our pockets for weeks before we got rid of her.</p>
<p>The moral of the story is this: not all attorneys are rich. The truth is, most are very modest as far as their earnings. There is too much competition these days so there are predatory lawyers out there that will lie, double talk, triple talk and run you around in circles. All the while the clock is ticking and they are billing you like it&#8217;s going out of style. Watch your back with the dead broke S1 lawyer.</p>

<p>Hospitals and Medical Centers have many opportunities to significantly reduce and manage their energy costs while maintaining or even improving patient care and comfort.</p>
<p>Healthcare facilities are significant energy consumers, typically using an average of 28 kWh and 110 cubic feet of gas per square foot. HVAC (including cooling and space heating) represents about 62% of hospital energy use with lighting comprising 13% more. Focusing on these two areas with their combined 75% of total energy usage is very useful for developing an energy efficiency plan.</p>
<p>However, knowing where to focus does not mean it is always clear exactly where to start. By taking a carefully planned &#8220;whole facility&#8221; approach, it is easier to feel confident that you are making the best, most financially and operationally prudent energy efficiency choices for your unique facility. In today&#8217;s industry there are proven and recommended engineering approaches and technologies available that can guarantee results. And by working with an experienced, energy services company or engineering firm, choosing the right options does not need to be complicated.</p>
<p>The best first step is always to focus on quick, low cost or no cost solutions. This can include training staff to turn lights off when they leave unoccupied rooms, using sleep mode settings for computers when not in use, shutting off AHUs that serve unoccupied areas at night such as cafeterias, offices, conference rooms, etc, using programmable thermostats in rooms and areas not occupied 24 Hrs / day to turn up or down temperatures in different seasons, and having the HVAC systems serviced and cleaned on a regular basis. After you&#8217;ve addressed the &#8220;low hanging fruit&#8221;, next steps can involve choosing from a variety of longer term options that are designed to deliver much greater energy savings. Options should be considered based on their proven track record of success, whether they are &#8220;Approved&#8221; or &#8220;recommended&#8221; by organizations such as Energy Star, US DOE, USGBC, IEEE, etc., their cost effectiveness and return on investment as well as consistency with your hospital&#8217;s goals and culture Experience has shown that some of the better programs for hospitals include lighting upgrades to high efficiency fluorescent, CFL and/ or LED, use of occupancy sensors and day-lighting opportunities , sine wave modification for lighting circuits, liquid pressure amplification for central chiller plants, energy management based on occupancy, anti-compressor short cycling for roof top units, demand controlled ventilation, use of variable frequency drives and possibly equipment replacement for older systems that are approaching the end of their useful life. As you move forward with this, it helps to know that you don&#8217;t have to do it alone. There are experienced firms who can help make recommendations and provide turnkey services for you. In choosing a partner to guide this type of &#8220;whole facility&#8221; approach for you, it is important to look at a number of factors. You may want to ask the following: What is their level of experience using these various technologies, do they use proven and recommended approaches, what are the credentials of their staff, are they members of key industry organizations, what is their level of knowledge of your industry, do they offer a free initial evaluation and do they offer guarantees at each step of their process.</p>

<p>Another thing would be to car pool or take public transportation. These are likewise inconveniences to many people, especially on days when they are running late. <p>Two of the biggest wastes of energy in the home are inefficient use of heating and cooling systems so, as a first step, ensure these are well maintained. Secondly, try notching your thermostats down a degree or two; you shouldn&#8217;t feel the impact too much physically but you sure will financially. Also ensure your air conditioning unit has good airflow, and any obstructions are removed.</p>
<p>Household appliances are also big users of energy, notably washers and dryers. Ideally, washing should be line dried in the fresh air. This obviously is a big saver, but also adds certain freshness. If the dryer does have to be used however, try and do loads so that one load goes in as soon as another finishes. This helps to retain heat in the dryer and saves energy.</p>
<p>Another appliance that eats up energy is the refrigerator. There are not too many people that clean the rear of their refrigerators all too often but, if this is done weekly or at least monthly, dust will be kept to a minimum and the refrigerator will operate much more efficiently. Also, the seal around the doors should be checked often to ensure there are no leaks wasting energy.</p>
<p>Ovens and stoves should also be well maintained; dust, grease and grime reduce efficiency and vary the cooking temperatures produced dramatically. It is also worth having a thermometer to use in an oven to get the exact temperature, as LED displays are not always accurate. A side benefit of the thermometer is that you will likely find that your food cooks better.</p>
<p>These are only a few basic steps to help get you started with home energy conservation. Once started, you are sure to find many other areas you can cut back on or make more efficient. Not only are you helping to do your small bit for society, but your bank balance will look a whole lot better too.</p>

Wind power is seen more in Europe though many countries are building off shore wind farms. Only a light breeze is needed to generate power and the energy conversion is one of the most efficient of all renewable sources.</p>
<p>Renewable energy is not only being used in large scale production but many can be scaled down to use for small grid or even residential use. The best example of this would be solar power. Solar power takes the suns light and converts it to electricity using solar cells. Solar can easily supplement current electricity usage and some business and people are finding that they no longer pay an electricity bill after conversion to solar power.</p>
<p>Hydropower has been used for years via construction and operation of dams. Most people are familiar with Hoover Dam which is the largest hydropower station in the world. <p>After the game, Roughriders coach Ken Miller talked about the importance of not losing in the same fashion in back to back weeks:</p>
<p>&#8220;We didn&#8217;t want to do that again, &#8220;In the first half in particular it was sensational. In the third quarter we gave up some points &#8230; but overall our defence played pretty good.&#8221;</p>
<p>Hamilton head coach Marcel Bellefeuille said there was no moral victory in falling short after a big comeback:</p>
<p>&#8220;You&#8217;ve got to play 60 minutes to win in the CFL, you can&#8217;t play 30 minutes.&#8221;</p>
<p>An important component of the Roughriders victory was their improved rushing attack. Wes Cates becoming the first Roughrider to rush for more than 100 yards this season as he finished with 117. After the game, Cates spoke of his accomplishment:</p>
<p>&#8220;It was not as much for myself but more for the naysayers. Yeah I needed a big game like that to stop the rumours and stop people from talking bad about me.&#8221;</p>
<p>Saskatchewans defensive line also starred, completely shutting down the Hamilton rushing attack. The Roughriders limited the Tiger-Cats runners to a mere 31 yards on the ground.</p>
<p>Hamilton starting QB Quinton Porter, in particular, struggled against the Saskatchewan defense. Kevin Glenn replaced him after the first quarter and finished the game 12-for-27 with 183 yards. Porter was 1-for-5 for only three yards before he was yanked.</p>
<p>The Tiger-Cats now have a bye week in which to try and regroup before they return to action August 29th on the road against the Edmonton Eskimos. Saskatchewan will head east to take on the CFL best Montreal Alouettes on Friday night.</p>

<p>For those not familiar with NFL totals, its the large number you&#8217;ll see accompanying most pointspread betting propositions. <p>NFL totals are a favorite tool of serious sports handicappers. Many are of the opinion that its easier to accurately foretell the *type* of game that will transpire between two teams rather than who will actually win and by how much.</p>
<p>To set the NFL total, a bookmaker looks at the offensive and defensive scoring statistics for the two teams and calculates a number based on points allowed and points scored. If one team had scored 275 points and allowed 350 in their previous sixteen games that&#8217;s a total of 625. Divided by 16 and that&#8217;s an average of just over 39 points per game. If their opponent had scored 285 and allowed 400 (685) over 16 games that translates to just under 43 points per game. Add the two numbers together, divide by two and you&#8217;ve got a base total of 40.5.</p>
<p>At this point other factors are considered such as the significance of key numbers like 3 and 7 on final scores, weather conditions, injuries, playing surface, etc. Another component that is important is the qualitative matchup between the offense and defense of each team&#8221;meaning that a team like the Baltimore Ravens with a strong defense will be more likely to impose their will on a team resulting in a lower final score.</p>
<p>Of course as in the case of the NFL pointspread, public perception is a crucial component of the linesmaking process. For example, the conventional wisdom is that bad weather like rain, snow, or sleet results in lower scores and for that reason a bookmaker will shade the total accordingly. However, its not quite that simple&#8211;some handicappers would maintain that sloppy weather can produce higher scores in certain situations as defensive backs aren&#8217;t able to cut as well and react to the man their covering. Furthermore, turnovers are in theory more likely in inclement weather.</p>
<p>In conclusion, NFL totals are a very good opportunity for a hard working handicapper to leverage his information about a situational matchup to find good wagering value. Like most elements of the sports handicapping discipline, its not easy to stay a step ahead of the bookmakers who have access to the same weather and injury&#8211;and have factored it into the number&#8211;but is a very entertaining and potentially rewarding challenge for the NFL bettor.</p>

<p>The Chargers easily covered the NFL pointspread as -6 road favorites. It was only the second pointspread cover of the year for San Diego, who moved their ATS record to 2-4. Kansas City dropped to 2-5 against the spread.</p>
<p>After the game, QB Rivers suggested that the loss to Denver was a turning point for his team:</p>
<p>&#8220;Last week, we felt like we made progress. We had the attitude we were looking for, focus, but we didn&#8217;t win. But we knew we got better.&#8221;</p>
<p>Tomlinson broke off one of his most impressive runs of the year on the Chargers first touchdown drive, a 31 yard pickup that he said lifted the team&#8217;s spirits and led to the easy victory:</p>
<p>&#8220;It kind of got us going. It was something we needed and it was a big play for us. It was a staple of our offense. It&#8217;s been around for years, old power. It was perfectly blocked and was just a great job of execution.&#8221;</p>
<p>The Chiefs continued to struggle on their home field, which at one point was considered one of the toughest venues in the league for visiting teams. Chiefs&#8217; nose tackle Ron Edwards lamented this home field struggle:</p>
<p>&#8220;We want to win for the home fans, for us, for everyone out there watching,&#8221; nose tackle Ron Edwards said. &#8220;It&#8217;s real painful.&#8221;</p>
<p>Rivers pointed to the Chiefs&#8217; legacy of home field dominance in celebrating the win:</p>
<p>&#8220;Any time you come to Kansas City and win, it&#8217;s good. We talked about getting on a roll and you&#8217;ve got to win one first before you can. Hopefully, this is something we can build on.&#8221;</p>
<p>The Chargers return home to take on their hated rivals, the Oakland Raiders. They&#8217;ll travel to play the New York Giants the following week before returning home to face the Philadelphia Eagles on November 15. Kansas City will enjoy a bye week before returning to action on November 8 on the road against the Jacksonville Jaguars. Their next opportunity for a home victory will come on November 15 against the Oakland Raiders.</p>

<p>I consult in the turnaround sector with public companies on the Pinks, OTCBB, London Exchange, Frankfurt Exchange and every exchange in-between and everyone seems to have the same issue: there stock isn&#8217;t trading at the price they desire and they are dying to find a way to fix the problems that are hindering their trade. It usually comes down to a few basic elements. Use each of these elements with caution as this industry is full of predatory organizations and consultants and can be dangerous to amateurs. If you&#8217;re a newbie, that&#8217;s ok. Do what you can but know when you are in over your head and turn the remaining process over to people that swim with sharks for a living.</p>
<p>Public company structuring and turnaround strategies typically center around the elements of: corporate publicity, individual executive publicity, lack of an experienced publicist, lack of strategic alliances and lack of the proper promotion that is conducive to getting stock investors to pull the trigger.</p>
<p>Corporate publicity can be broken down into the immediate and ongoing use of: press releases, viral marketing video and article submission, corporate blogs, investor relations, market maker or broker dealer that is affective and of course the almighty strategic alliances that build hype and build power behind your brand.</p>
<p>Another major component that most companies are lacking is &#8216;Individual Executive Publicity&#8217; by use of press release, viral market: video uploads with interviews and how to type material, article submission and personal blogs that center around the particular industry genre issues. It is important to make each executive stand out like a beacon in the industry and to press the reality or create the reality that your executive staff is composed of the who&#8217;s who of your industry.</p>
<p>Next you&#8217;ll need a corporate publicist with a focus on getting your CEO, CFO and/or corporate executives on TV and radio panel discussions as industry authority as well as newspaper and magazine articles and interviews about your company and its executives.</p>
<p>Don&#8217;t forget the importance of &#8216;Strategic Partnerships&#8217;. Announce new partnerships with multiple press releases, photo ops and articles. Pick strategic partners that have name recognition or are about to be in the public eye to piggy back off of the publicity they are receiving.</p>
<p>If you are an OTCBB or Pink Sheets company email campaigns to stock Investors are a quick way to get a nice bump in exposure and stock price but too many of these campaigns done the wrong way can hurt your company so be careful. Your investor relations consultant should have you listed on multiple stock alert services that run ongoing back to back. And the last but not least, the old fashion snail mail &#8216;Direct mail to stock investors&#8217; can be the added bang to your stock price rising and stabilizing.</p>
<p>Turning around a company can and expensive proposition today but can increase your company&#8217;s value exponentially if done by an experienced professional. It&#8217;s a process that&#8217;s worth it to companies with an eye toward longevity.</p>

<p>Many times companies stand at the threshold of massive stardom but carry the burden of dead weight management that simply take up space and increase salary costs. The company needs to eliminated them and recruit qualified management but there is often an emotional element at play here which makes it difficult to take the garbage out to the curb on trash collection day.</p>
<p>There are many corporate cautionary tales here. Companies that could have been but never were are a dime a dozen because they lacked the motivation to get past that emotional ingredient that paralyzes them, not allowing them to fire someone who has become a buddy. Your mind will play all kinds of tricks on you by telling you that: this guy has a family, you and he have a history, you can&#8217;t just fire someone who helped build this company and so on. What you are forgetting here is that the presence of this individual is jeopardizing the careers and livelihood of everyone else involved so this action of elimination is serving the greatest good.</p>
<p>Make things easy on yourself. Hire a management or expansion consultant. These people are use to being labeled as the bad guy and have thick skin allowing them to cut through the emotional BS and capture the reality of what will help your company get to the next level. They will make their decision on professional pedigree, executive contact portfolio, who can handle themselves best in a public or panel discussion setting, who has the most desirable track record for attracting the best executive candidates and so on.</p>
<p>Often times companies that find themselves at this crossroad are in the process of going public which is even more of a reason to hire an expansion consultant as they will apply your business to a proven template that will yield success, if your buddy needs to be eliminated and replaced they will be able to demonstrate the reasons why with empirical data and they will give you the profile of a candidate that is ideal for his replacement.</p>
<p>To attract the proper replacement for a &#8216;C&#8217;, &#8216;VP&#8217; or executive level professional you should bate them with stock and if possible pre IPO stock. Corporate shares and a solid compensation price will often get the right people through the door for an interview.</p>
<p>The stock should be a combination of restricted and non restricted and their acceptance of the non restricted demonstrates their intent on longevity with your company and non restricted shares demonstrate trust by you, stating that you&#8217;re willing to put a little more skin in the game in order to bring on the right talent.</p>

<p>A direct public offering is when a company raises capital by selling its shares directly to what is referred to as affinity groups, unlike an IPO which are sold by a broker dealer to its customers and the general public through other broker dealers who have customers interested in buying shares in the company.</p>
<p>In IPO&#8217;s you have a firm commitment underwriting, where the underwriters promise to purchase the securities for their own account if they can not sell them to customers.</p>
<p>Best-effort underwriting: The underwriters do not guarantee any specific number of shares to be sold, they merely act as brokers.</p>
<p>In an IPO the lead underwriter is referred to as the syndicate manager, he keeps the book and invites other broker dealers to join the syndicate. In a firm commitment underwriting, an underwriter&#8217;s agreement makes members liable for any unsold securities, regardless of how much of their allotment they sold. .</p>
<p>In a direct public offering the company sells the shares to affinity groups; who falls in this category? Customers, suppliers, distributors, friends, family, employees and other members of the community. In a direct public offering (DPO) the company places its shares in the hands of those people who are familiar with the company and know the company&#8217;s product and management, and are most likely to hold the shares longer because they feel comfortable with the company&#8217;s prospects for the future.</p>
<p>Direct public offerings are considerably less expensive than IPO&#8217;s and most effective for smaller offerings, for large offerings the sales staff and customer base of a broker dealer are usually necessary.</p>
<p>Since the affinity group is already familiar with the company and its practices it doesn&#8217;t put pressure on the company to change the way it does business, and will remain loyal to the company because of it&#8217;s presence in the community.</p>
<p>DPO&#8217;s are preferable to venture capital financing because it allows the present management to execute its business plan without outside interference. When a small company turns to a single large investor they tend to surrender the freedom to make all the decisions.</p>
<p>In a DPO like other methods of going public today audited financial statements are required. Unlike a reverse merger you choose your shareholders and you don&#8217;t have to deal with shady, unscrupulous shell owners.</p>
<p>Shell owners usually keep between 5-15% of the shares outstanding and are quick to liquidate, and they do not have an interest in the well being of the company&#8217;s share price. Even if you insert a stipulation in the contract that they can not sell for a year they will find a way of shorting the stock and destroying the share price.</p>
<p>This makes the DPO a preferable option even for companies that don&#8217;t need financing but would like to go public.</p>
<p>A DPO does not always require audited financials but if you plan on going public you will need them. So you must hire an auditing firm that is &#8220;peer review&#8221; or PCAOB.</p>
<p>If you wish to take your company public then you must file a form S-1 with the Securities and Exchange Commission and a form 211 must be filed with FINRA.</p>
<p>A DPO is an alternative to an IPO or Reverse Merger for a company wishing to go public or obtain financing; it allows the company owner(s) to call the shots instead of an underwriter or a shell owner.</p>

<p>Becoming a publicly traded company is an exciting and rewarding experience. The following sets forth the method, steps, fees and estimated timetable to go public on the OTC Bulletin Board (OTCBB) &#8216;from scratch&#8217;, or through a self-filing and discusses the 1934 Exchange Act responsibilities after a company&#8217;s registration statement has gone effective (after the company has become publicly traded):</p>
<p>Prior to filing the registration statement, a company that wishes to go public must first obtain an audit of the Company&#8217;s financial statements for the past two fiscal years. For most companies, the financial audit can be completed in about a month and costs typically range between $5,000 and $25,000, depending on the complexity of the company financials.</p>
<p>A public company will also need shareholders. To that end, if additional shareholders are needed, the company going public will need to complete a self-underwritten Regulation D, Rule 506 offering in which the company sells shares of its stock to investors for real consideration. This is not a difficult task, so long as you have a properly prepared private placement memorandum (PPM) and you follow the relatively simple rules of Rule 506. The price per share and number of shares offered can be determined by the Company, but most registered broker-dealers that will eventually submit a Form 211 for an OTC Bulletin Board quotation prefer to have a minimum of 400,000 shares distributed among the investors.</p>
<p>In addition to the minimum number of shareholders requirement, a company must have free-trading shares, called the &#8216;float&#8217;, in order to go public. Upon completion of the private offering and the financial audit for the prior two fiscal years, an S-1 Registration Statement must be filed with the Securities and Exchange Commission (&#8220;SEC&#8221;) to register the shares sold in the private placement, thus creating the free trading shares. The completion of the S-1 process with the SEC will make the Company a 1934 Exchange Act reporting company, which is required in order to obtain a quotation on the OTC Bulletin Board. The SEC will review the S-1 and provide comments within 30 days from the filing date. Comments from the SEC typically relate to the terms of the offering, the Company&#8217;s business and its financial statements. It usually takes between 2 to 3 months for the SEC to approve a registration statement on Form S-1 and for the S-1 to become effective. However, the actual amount of time will depend on the level of review and number of comments given by the SEC and the corresponding response time by the Company in filing its amendments.</p>
<p>Shortly after filing the S-1 registration statement with the SEC, a market maker must be &#8216;engaged&#8217; to file a Form 211 application with FINRA for the purposes of obtaining a quotation of its common shares on the OTC Bulletin Board. It is important to note that market makers cannot receive compensation for making a market in a stock, thus typically you must have connections to accomplish this. The timetable for approval of the Form 211 process is approximately 3 weeks to 5 weeks. However, the Form 211 will not be approved until the S-1 is approved by the SEC since the approval of the S-1 provides the &#8220;free trading&#8221; shares necessary to obtain the OTC Bulletin Board quotation.</p>
<p>The completion of the entire process to become a public company typically takes approximately 3 to 4 months from completion of the private offering and financial audit, however, the actual time could vary based on the factors discussed herein. If done right, with planning, hard work, the proper foresight, and a good firm guiding you through the process, going public is a truly exciting and rewarding experience.</p>

<p>When golf legend Jack Nicklaus was still a young upstart in the sport and only starting to tear up PGA courses, legend Bobby Jones commented following &#8216;The Golden Bear&#8217;s&#8221;65 Masters win that &#8220;he plays a game with which I am not familiar&#8221;. Following his absolute destruction of Rashad Evans in the main event of UFC 98, there&#8217;s likely a few MMA fighters saying the same thing about the new light heavyweight champion Lyoto Machida who made it look easy en route to a 2nd round TKO victory.</p>
<p>The fight started slowly, with each man trying to get a feel for his opponent and wait him out to see who blinked first. Late in the first round, Machida went on offense with frightening suddenness, flooring Evans with a nice straight right hand. Evans was able to recover and survive, but it only delayed the inevitable as Machida used another right hand to send his opponent down again. Evans gamely tried to fight back, but a final right hand from the Shotokan Karate master left him out cold.</p>
<p>After the fight UFC announcer Joe Rogan proclaimed the start of the Machida era and this is not just mere hyperbole. Machida is unlike any fighter before him, rooted in mastery of traditional martial arts but with the versatility of a modern MMA competitor. He&#8217;s essentially a Mortal Kombat character come to life&#8211;in a more realistic cross disciplinary comparison he shares many of the same characteristics as boxing great Floyd Mayweather, Jr. as he combines insane handspeed, underrated stopping power and nearly impenetrable defense into an unorthodox and extremely lethal package. Like Mayweather, hes a tough opponent to prepare for as there&#8217;s simply no way to replicate his skill set in sparring.</p>
<p>The comparisons with the insanely talented but equally insanely arrogant Mayweather end when the final bell sounds. Outside of the cage, Machida is a modest and respectful gentleman who is quick to give credit to his father and his karate teachers for his MMA success. He spent most of his UFC 98 postfight interview not singing his own praises, but imploring others to strive to realize their dreams. In the past, his limited English was seen as a potential marketing liability here in the US but on this occasion he demonstrated vastly improved fluency in the language as a Portuguese translator stood by with his hands in his pockets. Almost overnight hes simply become a marketers dream.</p>
<p>An odd trivia note about Machida serves as further repudiation for MMA neophytes who think that the sports kinship with pro wrestling began with Brock Lesnar: Machida was discovered by Japanese wrestling legend Antonio Inoki, and became something of his protege. He trained for some time at the New Japan Pro Wrestling dojo in Tokyo.</p>
<p>Perhaps the most frightening thing about Machida is that hes only now reaching his full potential as an MMA fighter. In other words, hes only going to get better which is a scary prospect for opponents given the fact that hes never lost in MMA competition. Early in his UFC career he had a reputation as a boring fighter, but in his recent bouts hes shown a downright lethal ability to end fights. He stopped Rameau Thierry Sokoudjou at UFC 79 with an arm triangle choke, and blitzed Evans and previous foe Thiago Alves with punishing punching combinations en route to TKO victories. The so called boring fighter has in the process earned two UFC knockout of the night bonuses by virtue of his evolving power punching skills.</p>
<p>Machida will very likely face Quinton &#8216;Rampage&#8217; Jackson at some point and its difficult to see him faring much differently than Evans did. One thing working in &#8216;Rampage&#8217;s&#8217; favor is his greater experience and a resume filled with high level opponents of various fighting styles. Still, everyone comes back to the fundamental reality that no one has ever really seen a fighter quite like Machida before.</p>
<p>In the co-main event of the evening, Matt Hughes defeated Matt Serra by unanimous decision to gain the upperhand in their long running feud. It was a surprisingly entertaining fight, with Serra taking the first round with his power punching before Hughes used his takedown and ground control abilities to win rounds two and three.</p>
